These Terms and Conditions (“*Terms”) govern the contractual relationship between Stailer Corporation, a company registered in Delaware, USA, with headquarters at 1111B S Governors Ave, STE 23978, Dover, DE 19904, EIN 32‑0792153, legally represented by Andrei Ursachi (referred to as the “Provider” or “Stailer”) and you, a professional in the beauty industry (referred to as “*Beneficiary” or “Partner” when you have a business account on the Platform). By creating an account or using the Stailer Beauty Pro app/website (referred to as the “*Platform”), you confirm that you have read, understood, and fully accept these Terms.

1. Main Definitions

•⁠ ⁠Platform – The “Stailer Beauty Pro” web and mobile application, including all its sub-domains and APIs.

•⁠ ⁠Beneficiary/Partner – An authorized individual or legal entity (e.g., salon, stylist, makeup artist) who creates a business account and uses the Platform for commercial purposes.

•⁠ ⁠End User/Client – An individual who uses the Platform to make appointments with Partners.

•⁠ ⁠Subscription – The fixed monthly fee due to the Provider for access to the Platform.

•⁠ ⁠Credits – Internal virtual currency issued by the Platform and used for additional services (SMS, AI calls, Look Simulator, etc.). One (1) credit = 1 RON.

•⁠ ⁠Third-Party Service – Content, app, or payment processor operated by another entity (e.g., Stripe, PayU, Meta, Google, Apple).


2. Purpose and Scope of Collaboration

Stailer offers the Beneficiary a SaaS digitalization package (calendar, marketing, AI simulator, call-bot) and marketplace listing to attract new clients.


3. Registration on the Platform

 1.⁠ ⁠To activate the business account, you must provide real data (company, unique identifier, address, sanitary licenses) and a valid card.

 2.⁠ ⁠Stailer reserves the right to refuse accounts that do not meet internal quality, hygiene, or reputation standards.


4. Subscription, Payments, and Credits

 1.⁠ ⁠Monthly fee: 175 RON (+ VAT where applicable) automatically debited every 30 days from the registration date.

 2.⁠ ⁠With each paid cycle, you receive *25 RON credits*. Credits expire 180 days from granting.

 3.⁠ ⁠Additional top-up is available in the web app; iOS/Android versions add 15% for store commissions.

 4.⁠ ⁠In case of non-payment after 3 (days) grace period, the account is automatically suspended.


5. Commission for New Clients & Visibility Algorithm

 1.⁠ ⁠The Beneficiary can set a dynamic commission between 0% and 100% for new client appointments.

 2.⁠ ⁠The ranking algorithm considers: average rating, no-show rates, response time, credit balance, calendar update regularity.

 3.⁠ ⁠Lack of balance or setting the commission to 0% lowers position in listings and stops promo campaigns.


6. Obligations of the Beneficiary

•⁠ ⁠To timely pay all amounts due.

•⁠ ⁠To use the Platform as intended and not engage in reverse-engineering, massive scraping, spam, etc.

•⁠ ⁠To keep the calendar updated (including appointments from other sources) and avoid unjustified cancellations.

•⁠ ⁠To hold all legal authorizations for the offered services and comply with hygiene, labor, and data protection norms.

•⁠ ⁠Not to publish indecent, defamatory content or infringe intellectual property rights.


7. Obligations of the Provider / SLA

•⁠ ⁠Target annual uptime: 99.5%.

•⁠ ⁠Average support ticket response time: < 24h on business days.

•⁠ ⁠Stailer does not guarantee a minimum volume of clients or income.


8. Intellectual Property Rights & Usage License

 1.⁠ ⁠All trademarks, interfaces, source code, databases, and graphics are the exclusive property of Stailer Corporation or its partners and are protected by US, EU laws, and international conventions.

 2.⁠ ⁠Stailer grants the Beneficiary a *limited, non-exclusive, and revocable license* to access and use the Platform strictly for the declared purpose.

 3.⁠ ⁠Reproduction, resale, decompilation, or modification of the Platform without prior written consent from Stailer is prohibited.


9. Acceptable Conduct, Minors & Security

 1.⁠ ⁠The Platform is not intended for minors under 16 years.

 2.⁠ ⁠The Beneficiary agrees not to publish/transmit viruses, harmful code, or exploit vulnerabilities.

 3.⁠ ⁠Unauthorized attempts (scraping, brute-force, API abuse) may lead to permanent suspension and reporting to authorities.


10. Third-Party Services and Links

The Platform may integrate links or SDKs belonging to third parties. Stailer is not responsible for the accuracy, availability, or legality of third-party services.


11. Commercial Communications and Feedback

By creating the account, you agree to receive operational communications (invoices, notifications), as well as similar offers; you can unsubscribe anytime. The feedback provided may be used by Stailer without compensation, under a perpetual license.


12. Privacy & Data Protection

Stailer processes personal data in accordance with the [Privacy Policy](/privacy). Transatlantic transfers rely on Standard Contractual Clauses.


13. Liability Limitation. Indemnification

 1.⁠ ⁠Stailer's cumulative liability to the Beneficiary for any damage is limited to *1,000 EUR*.

 2.⁠ ⁠Stailer is not liable for lost profits, data losses, reputation, or any indirect damages.

 3.⁠ ⁠The Beneficiary will indemnify Stailer for any third-party claims resulting from a breach of these Terms.


14. Force Majeure

The party affected by force majeure (pandemic, war, natural disaster, major internet/energy outages) is relieved from liability during the duration of the force majeure event.


15. Duration, Suspension, and Termination

 1.⁠ ⁠The contract is of indefinite duration and can be terminated at any time, online, effective immediately.

 2.⁠ ⁠Non-payment, breach of quality standards, or repeated violations may result in immediate suspension/termination.


16. Applicable Law and Dispute Resolution

 1.⁠ ⁠These Terms are governed by the law of the *State of Delaware, USA*.

 2.⁠ ⁠Disagreements will be exclusively resolved by the competent courts in New Castle County, Delaware.

 3.⁠ ⁠By creating an account, you consent to receive operational communications (invoices, notifications) and similar offers.


17. Miscellaneous

•⁠ ⁠Stailer may amend the Terms at any time; the updated version will be published on the Platform and will become effective immediately.

•⁠ ⁠The Beneficiary may not assign the contract without prior written consent from Stailer.

•⁠ ⁠Termination of the contract or amendment of any of its terms requires written agreement, unless provided otherwise by law.





*By continuing to use the Platform, you accept implicitly the new Terms.*

By using the Stailer Beauty Pro app/platform (“Platform”), you expressly accept these Terms.


 1.⁠ ⁠Scope of Collaboration

Stailer provides the Beneficiary access to the Platform for listing their services and managing appointments with end clients.


 2.⁠ ⁠Subscription and Payment

• The Beneficiary owes a fixed monthly subscription of 175 RON for access to the Platform.

• Payment is automatically made every 30 days from the card associated with the account.

• The subscription can be canceled at any time, with the change taking effect the following month.


 3.⁠ ⁠Credit System

• With each monthly payment, the Beneficiary receives credits worth 25 RON, usable for:

• SMS to clients,

• Automated AI calls,

• Make-up simulator and hairstyle simulator,

• Other AI features available on the Platform.

• Additional credits can be purchased, with an auto top-up option (available only in the web version).

• In the mobile app, top-up is manual.

• Purchases via the mobile app are subject to an additional 15% fee due to App Store and Google Play commissions.

• Lack of balance or absence of a credit line automatically reduces visibility on the Platform and sets the commission to 0% for new clients.


 4.⁠ ⁠Visibility and Commission

• The Beneficiary can set a client attraction commission between 0% and 100%.

• Visibility on the Platform is determined by an automatic algorithm based on:

• Quality of received reviews,

• Frequent cancellations,

• Complaints,

• Account status (“account health”).

• Visibility decreases if these criteria are affected.

• The commission is charged only if the service has been effectively rendered.


 5.⁠ ⁠Obligations of the Beneficiary

• To pay the amounts due on time.

• To cooperate with the Provider and provide necessary information.

• To not affect the image and reputation of Stailer.

• To constantly update the appointment calendar, whether the clients originate from the Platform or not.

• To avoid unjustified cancellations and to meet the quality standards of the Platform.

• To hold all authorizations, licenses, and legal approvals to provide the offered services.

• Failure to meet these obligations may lead to suspension of the listing on the Platform.


 6.⁠ ⁠Obligations of Stailer

• To ensure technical functionality, maintenance, and support of the Platform.

• To promote the Platform and partners through various methods (e.g., commercials, ads, widgets).

• Does not guarantee commercial results or automatic growth in the Beneficiary's business volume.


 7.⁠ ⁠Limitation of Liability

• Stailer is liable only for damages caused intentionally or due to gross negligence, with a limit of 1000 EUR.

• Not responsible for:

• Incorrect use of the Platform by the Beneficiary,

• Cancellations or no-shows by clients,

• Quality of services rendered by the Beneficiary to clients.

• In case of non-payment, the Provider may automatically suspend the account until full payment of outstanding amounts.


 8.⁠ ⁠Confidentiality and Data Protection

• The parties commit to respecting confidentiality rules and GDPR regulations regarding personal data.


 9.⁠ ⁠Duration and Termination

• The collaboration is valid for an indefinite period, starting from the creation of the account.

• It can be terminated by either party, at any time, with effects for the next month.

• In the event of force majeure (e.g., pandemics, war, natural disasters), obligations are temporarily suspended.


10.⁠ ⁠Other Provisions

• Official communications are made in writing, via email or registered letter.

• The Beneficiary cannot assign the contract without Stailer's written consent.

• The applicable law is the law of the state of Delaware, USA.

• Disputes will be resolved amicably or by competent courts.

• Invalidation of a clause does not affect the validity of the entire document.


By using the Platform, you declare that you have read, understood, and agree to these Terms and Conditions. If you do not agree with them, please do not use Stailer Beauty Pro.

• Purchases through the mobile app are subject to an additional 15% commission due to App Store and Google Play fees.

• Lack of balance or absence of a credit line automatically leads to reduced visibility on the Platform and setting the commission to 0% for new clients.


 4.⁠ ⁠Visibility and Commission

• The Beneficiary can set a client attraction commission between 0% and 100%.

• Visibility on the Platform is determined by an automatic algorithm based on:

• Quality of received reviews,

• Frequent cancellations,

• Complaints,

• Account status (“account health”).

• Visibility decreases if these criteria are affected.

• The commission is billed only if the service has been effectively rendered.


 5.⁠ ⁠Beneficiary Obligations

• To pay due amounts on time.

• To cooperate with the Provider and provide necessary information.

• Not to affect the image and reputation of Stailer.

• To constantly update the appointment calendar, regardless of whether clients come from the Platform or not.

• To avoid unjustified cancellations and to respect the quality standards of the Platform.

• To hold all authorizations, licenses, and legal notices to provide the offered services.

• Failure to comply with these obligations may lead to suspension from the Platform listing.


 6.⁠ ⁠Stailer Obligations

• To ensure technical functionality, maintenance, and support of the Platform.

• To promote the Platform and partners through various methods (e.g., advertisements, commercials, widgets).

• Does not guarantee business results or an automatic increase in the Beneficiary's turnover.


 7.⁠ ⁠Liability Limitation

• Stailer is only liable for damages caused intentionally or through gross negligence, with a limit of 1000 EUR.

• Not responsible for:

• Incorrect use of the Platform by the Beneficiary,

• Client cancellations or no-shows,

• Quality of services rendered by the Beneficiary to their clients.

• In case of non-payment, the Provider may automatically suspend the account until full payment of outstanding amounts.


 8.⁠ ⁠Confidentiality and Data Protection
